(h)   infringe any copyright, database right or trade mark of any other person;

(i)    be likely to deceive any person;

(j)    breach any legal duty owed to a third party, such as a contractual duty or a duty of confidence;

(k)   promote any illegal activity;

(l)    be in contempt of court;

(m) be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety;

(n)   be likely to harass, upset, embarrass, alarm or annoy any other person;

(o)   impersonate any person or misrepresent your identity or affiliation with any person;

(p)   give the impression that the Contribution emanates from Mybroadway.co.uk if this is not the case;

(q)   advocate, promote, incite any party to commit, or assist any unlawful or criminal act such as (by way of example only) copyright infringement or computer misuse;

(r)   contain a statement which you know or believe, or have reasonable grounds for believing, that members of the public to whom the statement is, or is to be published are likely to understand as a direct or indirect encouragement or other inducement to the commission, preparation or instigation of acts of terrorism; or

(s)   contain any advertising or promote any services or web links to other sites.

10.       Our site. for worldwide use

10.1     Our site is directed to people residing in any country. We do not represent that content available on or through our site is appropriate for use or available in all locations.

10.2     You may register for an account on our site by completing the online account registration form.

10.3     You must not allow any other person to use your account to access the site.

10.4     You must notify us in writing immediately if you become aware of any unauthorised use of your account.

12.3     You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

15.     Our directory

15.1   Submissions to our directory are permissible by account holders and will be published on our site.

15.2   All submissions to our directory must comply with these terms and conditions.

15.3   Any listings you submit must be paid to us in advance.

15.4   You will have the opportunity to amend any errors within the listing within 14 days.

15.5   All submissions will remain published on our site for a minimum period of 13 weeks, subject to termination and/or deletion in accordance with these terms and conditions.

16.     Prohibited submissions

16.1   Without prejudice to our other rights under these terms and conditions, we reserve the right to reject or delete submissions that breach these terms and conditions.

16.2   If we reject or delete a submission, we will not refund any applicable charges.

17.     Advertisements

17.1   The submission of advertisements is permitted on our site and at all times will be subject to these terms and conditions.

17.2   Any advertisements submitted to our site must be up to date (and kept up to date at all times), authentic, and you warrant that the information is true, fair and accurate in all respects.

17.3   Advertisements submitted to our site must not at any time:

(a)   breach any laws, regulations or codes;

(b)   infringe any third party intellectual property rights or other legal rights; or

(c)   give rise to a cause of action against any person.

17.4   You hereby grant to us a worldwide, non-exclusive, royalty-free, sub-licensable license to publish your advertisements on our site, and to copy, alter and store such

17.5   Without prejudice to any other rights we may have under these terms and conditions, we reserve the rights to reject, unpublish or delete advertisements that breach these terms and conditions. If we choose to reject, unpublish or delete your advertisement, we will not refund any applicable listing fees.

17.6   If we accept your advertisement submission, then it will remain published on our website for a period of 13 weeks, subject to these terms and conditions.

18.     Fees

18.1   The fees in respect of our website services are listed on our site and will be subject to change from time to time.

18.2   All amounts stated in these terms and conditions or on our website are stated exclusive of VAT.

18.3   All fees must be made in advance, in cleared funds, and as requested in our site.

18.4   If any credit card, debit card or other charge-back payment is refused, then you will be liable to pay us, within 7 days following the date of our written request:

(a)   an amount equal to the amount of the charge-back;

(b)   all third-party expenses incurred by us in relation to the charge-back (including charges made by our or your bank or payment processor or card issuer);

(c)   an administration fee of GBP 25.00; and

(d)   all our reasonable costs, losses and expenses incurred in recovering the amounts (including without limitation legal fees and debt collection fees).

18.5   If you owe us any amount under or relating to these terms and conditions, we may suspend or withdraw the provision of services to you.

18.6   We may at any time set-off any amount that you owe to us against any amount that we owe to you, by sending you written notice of the set-off.

19.     How to complain about content uploaded by other users

19.1   If you wish to complain about content uploaded by other users, please contact us on info@mybroadway.co.uk.

20.     How we may use your personal information

20.1   We will only use your personal information as set out in our Privacy Policy.

21.     Uploading content to our site

21.1   Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out clause 9 above.

21.2   You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

21.3   Any content you upload to our site will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us a limited licence to use, store and copy that content and to distribute and make it available to third parties.

21.4   We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

21.5   We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the content standards given in clause 9 above.

22.     Warranties

(b)   that the material on the site is up to date; or

(c)   that the site or any service on the site will remain available.

22.2   We reserve the right to discontinue or alter any or all of our site services, and to stop publishing our site, at any time in our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in these terms and conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any site services, or if we stop publishing the site.

22.3   To the maximum extent permitted by applicable law and subject to clause 23.1, we exclude all representations and warranties relating to the subject matter of these terms and conditions, our site and the use of our site.

23.     Limitations and exclusions of liability

23.1   Nothing in these terms and conditions will:

(a)   limit or exclude any liability for death or personal injury resulting from negligence;

(b)   limit or exclude any liability for fraud or fraudulent misrepresentation;

(c)   limit any liabilities in any way that is not permitted under applicable law; or

(d)   exclude any liabilities that may not be excluded under applicable law.

23.2   We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

23.3   We will not be liable to you in respect of any business losses, including (without limitation) loss of or damage to profits, income, revenue, use, production, anticipated savings, business, contracts, commercial opportunities or goodwill.

23.4   We will not be liable to you in respect of any loss or corruption of any data, database or software.

23.5   We will not be liable to you in respect of any special, indirect or consequential loss or damage.

23.6   You accept that we have an interest in limiting the personal liability of our officers and employees and, having regard to that interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against our officers or employees in respect of any losses you suffer in connection with the site or these terms and conditions (this will not, of course, limit or exclude the liability of the limited liability entity itself for the acts and omissions of our officers and employees).

23.7   Our aggregate liability to you in respect of any contract to provide services to you under these terms and conditions shall not exceed the total fees paid to us for your use of our directory.

24.     Indemnity

24.1   You hereby indemnify us, and undertake to keep us indemnified, against any and all losses, damages, costs, liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute) incurred or suffered by us and arising directly or indirectly out of your use of our site or any breach by you of any provision of these terms and conditions.

25.     We are not responsible for viruses and you must not introduce them

25.1   We do not guarantee that our site will be secure or free from bugs or viruses.

25.2   You are responsible for configuring your information technology, computer programmes and platform to access our site. You should use your own virus protection software.

25.3   You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored, or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

26.     Rules about linking to our site

26.1   You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.

26.2   You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

26.3   You must not establish a link to our site in any website that is not owned by you.

26.4   Our site must not be framed on any other site, nor may you create a link to any part of our site other than the home page.

27.     Which country’s laws apply to any disputes?

27.1   If you are a consumer, please note that these terms of use, their subject matter and their formation, are governed by English law. You and we both agree that the courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

27.2   If you are a business, these terms of use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law. We both agree to the exclusive jurisdiction of the courts of England and Wales.

28.     Our trade marks are registered

28.1   “mybroadway.co.uk” is a trade mark of Mybroadway.co.uk. You are not permitted to use it without our approval.
